Goliath Resources Secures C$23M in Bought Deal Flow-Through Financing

Goliath Resources Limited (TSXV:GOT, OTCQB:GOTRF, FSE:B4IF) has announced a bought deal private placement led by Stifel Canada as sole bookrunner and lead underwriter, alongside a syndicate of underwriters. The financing will raise gross proceeds of approximately C$23 million to support exploration activities at its flagship Golddigger-Surebet Gold Project in British Columbia.

The offering includes:

  • 1,190,477 National Flow-Through Shares priced at C$4.20/share, raising approximately C$5 million
  • 4,054,054 BC Flow-Through Shares priced at C$4.44/share, raising approximately C$18 million

Both share types qualify as “flow-through shares” under the Canadian Income Tax Act, allowing investors to benefit from tax deductions related to eligible exploration expenditures.

The underwriters have been granted an option to sell up to 15% more National Flow-Through Shares, exercisable until 48 hours before the expected closing date of October 23, 2025.

As part of the deal, underwriters will receive:

  • A 6% cash commission, paid from Goliath’s existing cash reserves
  • Broker warrants equal to 6% of the total Flow-Through Shares sold, exercisable at C$3.22/share for a period of 24 months

Proceeds will be used exclusively for Qualifying Expenditures on the Golddigger-Surebet Project, which continues to be a key focus for the company’s exploration and development strategy.

The transaction is subject to customary closing conditions, including approval from the TSX Venture Exchange.
